KPMG is currently seeking a Managing Director/Associate General Counsel to join our Office of General Counsel (OGC)s Corporate Legal Group as the Head of the Corporate Transactions and Governance Team.
Responsibilities:
- Lead the Corporate Transactions and Governance Team: Oversee the legal strategy, design and execution of advice related to firm and network governance, the firms partnership agreement, bylaws and other governing documents, and its organizational structure (such as subsidiaries, affiliates and other related entities), as well as a broad range of corporate transactions and strategic initiatives including financing transactions and acquisitions
- Board and Executive Advisor: Act as a primary advisor to the U.S. Board of Directors, U.S. Management Committee and other senior firm leadership on all matters relating to firm governance; collaborate closely on strategic initiatives that have major operational and governance implications
- Global Network Alignment: Navigate the intricacies of a multi-tiered, global and regional governance framework to advise the firm on U.S. and global governance considerations and lead the firms involvement in cross-border network governance initiatives
- Complex Transactions Oversight: Provide legal oversight and participate in negotiations involving complex transactions, including financing, joint ventures and M&A, ensuring that all structural changes strictly align with the firms governance framework and partnership obligations
- Talent and Team Leadership: Develop and support talent within the team to ensure a deep bench of corporate governance and transactional expertise; foster a collaborative, inclusive and growth-oriented culture by actively supporting career progression and continuous learning of team members
Qualifications:
- Minimum 14 years of recent experience in well-regarded law firm and/or in-house legal department; JD or LLM from an accredited law school and licensed to practice law in the U.S., including in the state in which his/her office is located
- Strategic thinker with the ability to manage multiple complex projects simultaneously and meet deadlines with consistently high-quality deliverables; possesses the highest ethical standards, integrity and character
- Demonstrated collaboration skills, including building strong business partnerships and working with cross-functional and global teams
- Proven leadership skills with high emotional intelligence and the ability to navigate ambiguity, influence stakeholders, manage change and resolve conflicts
- Experience advising a professional services firm is a plus
